General Terms and Conditions of Sale - Retailers

These General Terms and Conditions of Sale (GTC) govern purchases made by Retailers (stores, e-commerce, workshops) via the moto-connect platform.

1.Purpose

These GTC define the conditions under which Retailers may make purchases from Partners via the moto-connect platform. By placing an order on moto-connect, you accept these conditions in their entirety.

2.Retailer Status

A Retailer is any professional registered on moto-connect as a store, e-commerce or workshop, with a valid SIRET number and whose registration has been validated by moto-connect. The Retailer agrees to use purchased products exclusively within their professional resale or service provision activity.

3.Catalog Consultation

The Retailer has access to catalogs from all Partners registered on the platform. - Displayed prices are public prices excluding VAT (HT) - A professional discount is applied according to each Partner's conditions - Product availability is indicative - Product characteristics are provided by Partners Each Partner defines their own commercial conditions (minimum order, free shipping threshold, discount).

4.Placing Orders

To place an order: - Add desired products to your cart - Verify that each Partner's commercial conditions are met (minimum order) - Validate your cart to generate purchase orders Cart validation constitutes a firm purchase commitment. A purchase order is automatically generated for each Partner involved. The Partner has 48 hours to accept or reject the order. You are notified by email of the decision.

5.Commercial Terms

Each Partner defines their own commercial conditions: - Professional discount: percentage applied to public price excluding VAT - Minimum order: minimum net amount required to validate an order - Free shipping threshold: amount above which delivery is free (mainland France) These conditions are displayed in your cart and on product pages. They may vary according to specific agreements between Retailer and Partner.

6.Prices and Payment

Prices are indicated in euros excluding tax (HT). Applicable VAT is added on the invoice issued by the Partner. Payment is made by bank transfer directly to the Partner: - Payment term: Net 30 days upon invoice receipt - Bank details appear on the Partner's invoice - Once payment is made, upload your proof of payment on the platform In case of late payment, penalties may be applied in accordance with Article L.441-10 of the French Commercial Code (three times the legal interest rate).

7.Delivery

Delivery is made to the address provided during your registration. - Mainland France: shipping costs included if free shipping threshold is reached - Outside mainland France: shipping costs according to Partner conditions - Outside European Union: customs duties and import taxes remain your responsibility Indicative delivery time is displayed on each product page. It runs from acceptance of the order by the Partner.

8.Reception and Claims

Upon receiving your order: - Check the condition of packages and products - In case of visible damage, file a complaint with the carrier within 48 hours - Report any missing or non-conforming products to the Partner within 14 days Delivery confirmation on the platform constitutes acceptance of products, except for reservations made within the deadlines.

9.Returns

B2B transactions do not benefit from the 14-day withdrawal right reserved for consumers. Returns are accepted only in the following cases: - Product not conforming to the order - Defective or damaged product upon receipt - Delivery error Any return must be subject to prior agreement from the Partner. Return costs are borne by the Partner if their liability is engaged.

10.Warranties

Products benefit from: - Legal conformity guarantee (2 years from delivery) - Guarantee against hidden defects - Manufacturer warranty where applicable For any warranty claim, contact the Partner directly. After-sales procedures are managed by each Partner according to their own conditions.

11.Product Usage

The Retailer agrees to: - Use purchased products exclusively within their professional activity - Respect distribution networks if applicable (selective distribution) - Inform end customers of product characteristics and usage conditions - Not resell products below purchase price (except legal liquidation)

12.Liability

The Retailer is responsible for: - Resale of products to end customers - Informing customers about product characteristics - Compliance with regulations applicable to their resale activity moto-connect acts as a technical intermediary and cannot be held liable for disputes between Retailers and Partners, nor for disputes between Retailers and their end customers.
